Terms of Service

1. Introduction

Welcome to Rally4One. These Terms of Service ("Terms") govern your access to and use of the Rally4One platform, website, and related services (collectively, the "Service") operated by Rally4One LLC ("Rally4One," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Rally4One is a peer-to-peer fundraising platform that provides managed fundraising campaign services to organizations. Our platform enables organizations to run structured fundraising campaigns where advocates (fundraisers) share personalized donation pages with their contacts (supporters), who can then make charitable contributions.

Rally4One is a for-profit software-as-a-service (SaaS) company. We are not a nonprofit organization. We provide technology and managed services to facilitate fundraising on behalf of our client organizations.

3. Organization Eligibility and Vetting

Rally4One serves the following types of organizations ("Client Organizations"):

  • Registered 501(c)(3) nonprofit organizations — verified through tax-exempt documentation
  • K–12 public and private schools — verified through state education authority registration or accreditation
  • Youth sports organizations — verified through league affiliation, school district association, or organizational documentation
  • Community and faith-based organizations — verified through organizational documentation and mission alignment

Onboarding and Due Diligence

All Client Organizations undergo a managed onboarding process before any fundraising campaign can be launched on the Rally4One platform. Rally4One does not offer self-service sign-up for organizations. Our onboarding process includes the following verification steps:

  1. Direct engagement — Every Client Organization is onboarded through direct engagement with our sales and operations team. No organization can create or launch a campaign without first being vetted by Rally4One staff.
  2. Organization identity verification — We verify the organization's legal name, type, physical address, and primary point of contact.
  3. Purpose and mission review — We confirm that the organization's fundraising purpose aligns with charitable, educational, or community-benefit objectives.
  4. Nonprofit validation — For organizations claiming 501(c)(3) status, we verify tax-exempt status using the IRS Tax Exempt Organization Search (TEOS), 501c3Lookup.org, and TaxExemptWorld public databases.
  5. School and youth organization validation — For K–12 schools and youth sports organizations, we verify institutional legitimacy through accreditation records, district affiliation, or league membership.
  6. Ongoing monitoring — Rally4One reserves the right to review and audit any Client Organization's use of the platform at any time. Organizations that violate these Terms or misrepresent their status may be removed from the platform immediately.

Rally4One maintains sole discretion over which organizations are approved to use the platform. We may decline to onboard any organization that does not meet our eligibility standards.

4. Donor Terms

Donors who contribute through the Rally4One platform ("Donors") acknowledge and agree to the following:

  • All donations are made voluntarily and are directed to the Client Organization operating the fundraising campaign.
  • Donors may optionally elect to cover processing fees associated with their donation. This election is clearly presented during the donation process and is not required.
  • Donation payments are processed through Authorize.Net, our third-party payment gateway. Rally4One does not store credit card numbers or sensitive payment credentials on its servers.
  • Available payment methods may include credit card, Apple Pay, Google Pay, PayPal, and Venmo, subject to availability.
  • Rally4One is not responsible for issuing tax receipts. Donors should contact the Client Organization directly regarding tax deductibility of their contribution.

5. Advocate Terms

Advocates are individuals who participate in fundraising campaigns on behalf of a Client Organization. Advocates agree to:

  • Provide accurate personal information during onboarding.
  • Use the platform only for the purpose of the fundraising campaign they are enrolled in.
  • Not engage in misleading, fraudulent, or deceptive solicitation practices.
  • Comply with all applicable laws regarding fundraising solicitation in their jurisdiction.

6. Prohibited Uses

You may not use the Service for any purpose that is unlawful or prohibited by these Terms, including but not limited to:

  • Fundraising for personal financial gain unrelated to a legitimate organizational cause.
  • Misrepresenting the identity, status, or mission of a Client Organization.
  • Using the platform to launder money or facilitate any form of financial fraud.
  • Submitting false or misleading information during the organization onboarding or advocate registration process.
  • Attempting to access, interfere with, or disrupt the Service or its underlying infrastructure.

7. Intellectual Property

The Service, including all content, features, functionality, software, text, images, and design elements, is owned by Rally4One LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

Client Organizations retain ownership of their own branding, logos, and content that they provide to the platform. By uploading content to Rally4One, Client Organizations grant us a non-exclusive, royalty-free license to display and distribute that content solely in connection with the operation of their fundraising campaigns.

8. Payment Processing and Fees

Rally4One facilitates donation payment processing through third-party payment providers. Donations collected through the platform are disbursed to Client Organizations according to the terms of their service agreement with Rally4One.

Standard payment processing fees apply to all transactions. Rally4One's service fees and payout schedules are outlined in the individual service agreement between Rally4One and each Client Organization.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Rally4One does not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Rally4One LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rally4One LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Rally4One may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Colorado.

Notwithstanding the foregoing, where Rally4One enters into a separate service agreement with a government entity, public school district, or other public agency, the governing law and venue provisions of that agreement shall control to the extent they conflict with this section.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms.
